Its credit disclosures discuss debt-servicing requirements, capital expenditure, and a debt service reserve account (DSRA). The Mumbai International Airport Limited (MIAL), a separate entity within the group structure, has its own financing and reserve arrangements. An understanding of these differences helps investors understand what airport bonds can (and cannot) protect them against.

How Airport Bonds Generate and Repay Debt

An airport makes money out of aeronautical activities like landing and parking charges, and also out of non-aeronautical activities such as retail concessions, food outlets, parking, advertising, and commercial development. The mix matters because passenger traffic and spending patterns influence these revenue streams differently.

Airport debt, unlike short-term corporate loans, often funds long-lived assets and expansion projects. Repayment may depend on operating cash flow over many years, refinancing, or a combination of both.

AAHL’s financing needs reflect this long investment cycle. In its February 2026 rating rationale, reaffirmed in the version updated on 18 September 2026, CRISIL estimated debt servicing of approximately ₹600 crore in each of FY26 and FY27, alongside planned capital expenditure of around ₹14,000 crore over those two years [1]. The rationale said the capex would be funded through internal cash accruals and additional debt. These figures represent CRISIL’s estimates, not confirmed actual outcomes.

Separately, in September 2026, AAHL announced plans to raise approximately ₹9,825 crore in primary equity from a consortium of investors, with the transaction expected to be completed in three tranches by July 2027 [2]. This provides additional context on the company’s funding plans, although it should not be treated as a direct replacement for CRISIL’s capex and debt-servicing estimates.

What Is a Cash Flow Waterfall in Airport Financing?

A cash-flow waterfall is the sequence for the distribution of money in specified accounts for different purposes. The exact ordering is set out in the transaction documents, the escrow arrangements, the debenture trust deed, and the relevant loan agreements.

A simplified airport-financing waterfall may look like this:

Collect operating revenue: Receive aeronautical and non-aeronautical income in the designated accounts based on the financing structure.

Pay permitted operating expenses: Meet the needs of airport operations, maintenance, and the legal requirements based on the contractual payment hierarchy.

Fund debt servicing: Set aside money for interest and scheduled principal repayments.

Maintain reserve accounts: Replenish the DSRA or other required reserves if the documents call for it.

Fund approved capital expenditure: Allocate money to expansion and maintenance projects in accordance with the financing structure.

Release residual cash: Distribute residual money if allowed under the relevant agreement documents.

This is an illustrative sequence, not a verified contractual waterfall for every AAHL or airport subsidiary bond. Actual priorities may differ, and some expenses, reserves, or capex accounts may rank differently under particular agreements.

For example, if passenger spending weakens, the airport may still collect landing fees and other operating income. But if cash available after essential costs is insufficient to meet upcoming interest and principal payments, the financing structure’s reserves and other permitted sources of liquidity become important.

L(earn) More:

RBI October MPC Meeting Minutes: Inflation Spreading, and More Rate Hikes Possible

RBI Rejects All 224 T-Bill Bids as Yields Surge: Impact on Liquidity and Rates

<a href="https://goldenpi.com/blog/bond-news/surety-bonds-in-india-meaning-types-benefits-how-they-work/" aria-label="Surety Bonds in India: Meaning, Types, Benefits & They can restrict certain actions, require the borrower to maintain specified financial conditions, or trigger consequences if requirements are breached.

For airport financing, the key areas to examine include:

Debt-incurrence restrictions: Restrictions on borrowing additional money, which help prevent the risk of excessive borrowing.

Cash flow and account controls: Restrictions on where the cash flows go and how they can be spent.

DSRA maintenance requirements: Obligations to set up and/or maintain the reserve as outlined.

Restrictions on distributions: Conditions that may restrict dividends and payments to related parties if certain debt protection tests have not been met.

Reporting and information obligations: Requirements for providing financial statements, compliance certificates, and other disclosures.

Security and enforcement provisions: The assets, receivables, or other rights supporting the debt and the remedies available following a default.

These are categories to investigate, not a claim that every covenant applies to every Adani airport bond. The specific debenture trust deed and offer documents determine the binding terms.

Investors should also distinguish a contractual covenant from a rating-agency sensitivity. CRISIL’s February 2026 AAHL rationale [3] identifies sustained debt/EBITDA of around 7.0–7.5 times as a potential downside rating factor. That is a rating sensitivity, not automatically a contractual covenant breach threshold. The actual loan or bond documents must be checked for binding tests and consequences.

How Cash Flow, DSRA, and Covenants Work Together

These protections address different risks and should be evaluated together.

Protection

Primary purpose

What it does not eliminate

Cash-flow waterfall

Establishes payment priorities

A shortage of total cash

DSRA

Covers specified debt-service needs during a shortfall

Prolonged financial stress or all refinancing risk

Covenants

Restricts or monitors actions that could weaken creditor protection

Every possible business or market risk

Security and enforcement rights

Define recourse if obligations are not met

Delays, recovery uncertainty, or losses in enforcement

A strong DSRA may provide time to respond to a temporary cash shortfall, while covenants can restrict actions that weaken the lender’s position. None of these should be treated as a substitute for assessing the issuer’s ability to generate cash and repay debt.

Before investing in an airport bond, review the exact issuer, maturity and repayment structure; the DSRA requirement and replenishment terms; the covenants and consequences of breach; the security and enforcement provisions; and the issuer’s projected cash flow against debt servicing and capex. For Adani airport financing, check the relevant entity-level disclosures rather than assuming that AAHL, MIAL and every airport subsidiary share identical terms.

How Airport Bond Works FAQs

Q1. What are airport bonds?
Airport bonds are debt securities issued to raise money for airport construction, expansion, modernisation or refinancing. Investors lend money to the issuer and receive interest and principal repayments according to the bond terms. Their repayment depends on the issuer’s financial position and the specific security and contractual protections attached to the bonds.

Q2. What is a cash flow waterfall in airport financing?
A cash flow waterfall is a contractual order in which money received by a borrower or project company is allocated. The actual order depends on the financing documents.

Q3. How do airport revenues support debt repayment?
Airport operators can earn aeronautical revenue from activities such as passenger charges, landing and parking fees, and other regulated airport services. Non-aeronautical revenue may come from retail, food and beverage, advertising, parking and commercial concessions. The amount available for debt repayment depends on the relevant entity’s revenue arrangements, operating costs, taxes, capital expenditure and financing obligations.

Q4. What is the difference between aeronautical and non-aeronautical revenue?
Aeronautical revenue comes from aviation-related services and charges, some of which are subject to regulatory oversight. Non-aeronautical revenue comes from commercial activities such as retail outlets, food services, advertising and other passenger-facing businesses. Both can support airport finances, but their profitability, growth drivers and regulatory treatment may differ.

Q5. How does a DSRA protect airport bondholders?
A DSRA provides a liquidity buffer that may help the borrower make scheduled payments during a temporary cash flow shortfall.
