CRISIL had identified FY24 non-aero revenue below its expected range of ₹750-800 crore as a potential negative rating trigger. The reported FY24 figure was ₹936 crore, exceeding that expectation. The revenue stream that had raised concerns subsequently became an important factor in the improved credit assessment that led to the August 2025 upgrade.

What Really Drove the Upgrade?

The headline reason was growth in revenue earned beyond the runway. Non-aero revenue rose to ₹1,359 crore in FY25, supported by the consolidation of food and beverage operations under a joint venture and the addition of new concessionaires.

Established, regulated airport cash flows still matter as the foundation. Aero revenue is regulated by AERA, which provides a true-up if traffic, CAPEX, or aero costs vary, so the base is steadier than most commercial businesses. Traffic helped too: the six airports handled roughly 35.7 million passengers in FY24 and 39.3 million in FY25.

Revenue and leverage figures cover AAHL standalone plus the six airport SPVs:

Metric (as reported by CRISIL)

FY24

FY25

Revenue (₹ crore)

2,595

3,959

Non-aero revenue (₹ crore)

936

1,359

Adjusted debt/adjusted net worth (x)

0.49

3.62

Note the last row. Revenue grew, but adjusted debt relative to net worth also increased significantly. This reflects a more leveraged balance-sheet position and helps explain why CRISIL continues to describe AAHL’s financial risk profile as modest. The ratio is not the same as debt/EBITDA, which CRISIL separately uses to assess rating sensitivities.

L(earn) More:

RBI October MPC Meeting Minutes: Inflation Spreading, and More Rate Hikes Possible

RBI Rejects All 224 T-Bill Bids as Yields Surge: Impact on Liquidity and Rates

<a href="https://goldenpi.com/blog/bond-news/surety-bonds-in-india-meaning-types-benefits-how-they-work/" aria-label="Surety Bonds in India: Meaning, Types, Benefits & The city-side development (CSD) business is expected to be carved into a separate SPV with its own ring-fenced cash flows, so debt raised for it is serviced from its own income.

Think of it as keeping the shop’s till separate from the landlord’s side business. If a property project struggles, it should not drain the airport’s account. For bondholders, this keeps real estate risk away from airport cash flows.

Must Read: Adani Airport Holdings NCDs: Credit Ratings, Yield Spreads, and Balance Sheet Analysis

Liquidity, DSRA, and the Debt-Servicing Cushion

CRISIL rates AAHL’s liquidity as strong. The key supports are:

Debt servicing versus cash flow: About ₹600 crore a year in FY26 and FY27, against expected cash flow of roughly ₹2,100 crore and ₹3,200 crore, respectively.

DSRA: A debt service reserve account covering one quarter of debt servicing is maintained, equivalent to roughly three months of payments.

Group support: The Adani group is expected to help fund AAHL’s requirements if needed, including for capex and debt servicing.

The first point illustrates the idea behind the debt service coverage ratio (DSCR): how comfortably a company’s cash flow covers its interest and principal repayments. As a rough illustration, the figures imply coverage of about 3.5x in FY26 and 5.3x in FY27. These are simple calculations using CRISIL’s figures, not CRISIL’s reported DSCR, and the precise definition of cash flow used in these estimates is not specified in this comparison.

Think of DSCR as how comfortably your income covers your EMIs. The more income you have available relative to your repayments, the more room you have to absorb a financial setback.

Risks Behind the AA- Rating: Regulation, Capex, and the Per-Passenger Fee

The biggest swing factor is regulatory. AERA’s “hybrid till” framework uses 30% of non-aero revenue to cushion aero charges. AAHL runs certain non-aero businesses at the six airports and pays the airport companies a minimum guaranteed fee or a revenue share, whichever is higher. AERA argued this understated their true earning potential, which would shrink the cushion for aero charges.

In September 2025, TDSAT ruled in favor of the airport operators on relevant tariff issues, including the treatment of non-aero revenue under the Master Service Agreement. AERA challenged TDSAT’s ruling before the Supreme Court. The matter remained under hearing as of October 13, 2026, with further proceedings listed for October 14. The final outcome remains to be confirmed.

The per-passenger fee adds another layer. Each airport owes AAI a fee per passenger, revised annually for CPI inflation and doubled for international travelers. It is a cost that rises with traffic and inflation, so the airports need tariffs and non-aero income to keep pace. Don’t confuse it with the passenger charges travelers pay at the airport.

Capex and leverage matter too. CRISIL expects about ₹35,000 crore of aero capex over FY26-30, funded by 70:30 debt-to-equity. It would consider an upgrade if debt/EBITDA sustains at 5.0-5.5x and a downgrade at 7.0-7.5x. A downgrade of the Adani group itself is another stated trigger.

What the Upgrade Means for Bond Investors

Existing AAHL NCDs carry coupons from 9.35% to 10%, all issued in 2024 when the rating was A+. An AA- rating may support tighter pricing on new issues, though that is a possibility, not a promise. As of February 2026, ₹2,000 crore of proposed NCDs were rated but not yet issued, so check whether they have since come to market and at what price.

Before investing, check three things: non-aero revenue per passenger, the Supreme Court outcome, and the leverage trend against CRISIL’s thresholds.

Final Take

The upgrade rewards what AAHL has built: a regulated aero base, a growing non-aero engine, and a cleaner structure. But the rating is a forecast, and it leans on non-aero ramp-up and a favorable regulatory outcome. Read the rationale, not just the letters.

Adani Airport Credit Rating Upgrade FAQ

Q1. What is non-aeronautical revenue at an airport?
Non-aeronautical revenue comes from commercial activities beyond core aviation services. Examples include retail outlets, food and beverage concessions, duty-free shopping, advertising, car parking, foreign exchange services and flight kitchens. These activities can diversify an airport operator’s income and increase the cash available to service debt.

Q2. Why does non-aeronautical revenue matter for credit ratings?
Non-aeronautical revenue can improve an airport operator’s cash generation and diversify its income sources. If commercial activities generate higher operating cash flow, the company may have a larger cushion for interest payments, principal repayments, and capital expenditure. Rating agencies assess whether this improvement is sustainable rather than relying on a single year’s growth.

Q3. What is the difference between aeronautical and non-aeronautical revenue?
Aeronautical revenue comes from aviation-related services and charges, such as landing, parking and passenger-related airport services. Non-aeronautical revenue comes from commercial activities such as retail, food and beverage, advertising and parking concessions.
