Companies usually do this by exercising a call option, offering early redemption (sometimes only partial), or repurchasing bonds from holders at an agreed price.

Indian practice often differs from the US-style tender offer many people picture. Most repurchases here follow the terms in the debenture trust deed and information memorandum, with disclosures to the exchanges under the SEBI Listing Regulations and the SEBI NCS Regulations, 2021. So your first step is always to read the offer terms, not just the notice.

These redemptions are visible in the market. Biocon completed the early full redemption of 50,000 unlisted NCDs worth ₹500 crore on 5 January 2026 [1]. In March 2026, Adani Enterprises convened a Management Committee meeting to consider early redemption of two unlisted NCD series totalling ₹1,950 crore [2]. Sandur Manganese & Iron Ores also notified exchanges in February 2026 of its intention to redeem 45,000 listed 11% NCDs worth ₹423 crore early, with redemption scheduled for 9 March 2026 [3]. These examples show why the specific redemption terms, approvals, and dates matter.

Why Do Companies Buy Back Their Bonds?

Understanding the issuer’s motive helps you judge the offer.

Refinancing at a lower cost: If rates have fallen or the company’s credit has improved, it can replace expensive debt with cheaper debt.

Surplus cash: A strong cash flow quarter or an asset sale can make debt reduction attractive.

Balance sheet clean-up: Lower leverage can support a rating upgrade and cut interest costs.

Restructuring terms: Sometimes the company wants out of restrictive covenants.

A useful rule of thumb: when a company is keen to retire your bond, the coupon is often richer than what it could raise at today’s rates. Unlisted bonds and debentures are treated differently. Under Section 76 of the Income-tax Act, 2025, gains arising from their transfer, redemption, or maturity are treated as short-term capital gains and taxed at your applicable slab rate, regardless of the holding period, subject to the applicable provisions.

One caveat: The Income-tax Act, 2025, took effect on 1 April 2026 and renumbers the provisions of the earlier Act. The offer allows the issuer to reduce its debt while giving investors an opportunity to exit early.

Q2. Why do companies buy back their bonds?
Companies may buy back bonds to reduce outstanding debt, manage upcoming repayments, restructure liabilities or take advantage of improved financing conditions. A buyback can also help simplify the company’s debt profile.
