Sun Pharma’s all-cash Organon acquisition is valued at $11.75 billion, including debt. More than $10 billion of it is being funded by a syndicate of 11 banks plus the three original underwriters, with the rest coming from the company’s own cash. The rupee bonds would add a domestic funding route.

Invest NowWhy Sun Pharma Is Turning to Rupee Bonds
Reuters reported that the proceeds would partly refinance an approximately $12 billion, 18-month bridge loan arranged for the acquisition. Sun Pharma did not comment on the report. The bonds are expected to mature in two, three, and four years, spreading repayment across several years. Because the bridge runs 18 months, the bonds extend maturities only modestly.
Refinancing early eases near-term repayment pressure on the bridge facility, and a rupee issue broadens Sun Pharma’s funding sources beyond offshore lenders. At the same time, ₹10,000 crore is a small share of the overall financing requirement, so the bonds are only a first step.
Board Review and Borrowing Limit
A board notice shows Sun Pharma considering listed unsecured NCDs of up to ₹15,000 crore, above the roughly ₹10,000 crore first reported. The company is also seeking shareholder approval to lift its borrowing limit from ₹50,000 crore to ₹70,000 crore, which would give it room to raise more than the reported amount.

How the Rest of the Deal Is Funded
Sun Pharma lined up 11 banks, including State Bank of India, to join the original underwriters Citi, JPMorgan Chase, and MUFG in raising more than $10 billion in debt. Its own cash reserves cover the remainder. Other routes it has explored include swapping Organon’s existing bonds into Sun Pharma debt and raising $3 billion to $4 billion through offshore loans. Organon carried $8.6 billion of debt at the end of 2025, much of which Sun Pharma would take on or refinance after closing.
Strategic Rationale
Once completed (expected in early 2027), this $11.75 billion all‑cash acquisition of Organon & Co. will be Sun Pharma’s largest overseas deal ever and is expected to lift it into the top 25 global pharmaceutical companies, with combined annual revenue of $12.4 billion, up from about $6.2 billion. It also expands the company’s presence in women’s health, established medicines, and developed markets. Management has said Organon would help it build a presence in China, where it has little today.
What to watch:
- Final size, pricing, and tenor of the bond issue
- Shareholder approval of the higher borrowing limit
- Regulatory clearances ahead of closing
- Organon’s revenue and EBITDA contribution after integration
What Comes Next
The bond issue is the next visible step in Sun Pharma’s financing plan, but its size, pricing and timing are still unconfirmed. The company expects to complete the Organon deal in late 2026 and early 2027, subject to regulatory approvals, so more funding moves are likely before then.
